Draft. This page describes how Advertoo works, but it hasn't been reviewed by a lawyer yet. Items in square brackets need filling in before launch.
These terms explain the rules for booking and listing advertising space on Advertoo. By using Advertoo you agree to them.
1. About Advertoo
Advertoo is an online marketplace run by [Company name], a company registered in England and Wales (company number [number]) at [registered address] (“we”, “us”). It connects advertisers with people and businesses who own advertising space (“space owners”).
Each booking is an agreement between the advertiser and the space owner. We provide the platform, take payment on the owner's behalf and help if something goes wrong.
2. Your account
- You must be 18 or over and give accurate details about yourself and any business you represent.
- Keep your login secure. You're responsible for what happens on your account.
- We may suspend or close accounts that break these terms, for example for fraud, abuse or repeated cancellations.
3. How booking works
An advertiser sends a request for specific dates. Their card is authorised for the full amount but not charged. The space owner has 48 hours to accept or decline; if they don't reply, the request expires and the hold is released.
When a request is accepted, we take payment and the booking is confirmed. If a request covers several spaces, we take a single payment for the accepted spaces once every owner has replied or the 48 hours have passed.
4. Prices, fees and VAT
- Space owners set their own daily prices. Prices are shown without VAT.
- If an owner is VAT-registered, 20% VAT is added to their price and passed on to them in full.
- Advertisers pay a 5% protection fee on each accepted booking.
- Listing is free. Space owners pay a 10% fee on each booking that goes ahead, taken from their payout.
5. Artwork and adverts
Advertisers are responsible for their artwork: it must be legal, decent, honest and truthful, follow the UK Code of Non-broadcast Advertising (the CAP Code), and use only content they have the right to use.
Space owners may ask for changes, or decline a booking, if artwork doesn't meet their specifications or these rules.
6. Space owners' responsibilities
- Describe your space accurately, with recent photos and a correct location.
- Have any permission your space needs, such as advertisement consent from your council or your landlord's agreement.
- Put the advert up for the booked start date, keep it up for the booked dates, and upload proof of posting.
- Don't accept payment for Advertoo bookings outside Advertoo.
7. Cancellations and refunds
- Advertisers can withdraw a request free of charge until the owner accepts it. Until then their card is only held.
- Once the owner has accepted, advertisers can cancel online until the day before the start date. How much of the space price (and any VAT on it) they get back depends on when they cancel:
- 30 days or more before the start: a full refund of the space price.
- 14–29 days before the start: 50% of the space price back.
- Less than 14 days before the start: no refund.
- The 5% protection fee isn't refunded when an advertiser cancels. The space owner keeps the rest of the space price for holding the dates, less Advertoo's 10% fee on that amount, and is paid on the original start date.
- If a space owner cancels, or the advert never goes up, the advertiser gets a full refund including the protection fee.
- If an advert isn't running as booked, the advertiser can report a problem from the start date until 7 days after the end date. We hold the owner's payout while we look into it and decide whether a refund is due.
8. Payouts to space owners
We pay space owners through Stripe. Payouts are sent once the owner uploads proof of posting, or automatically 48 hours after the start date if no problem has been reported. Owners must complete Stripe's identity checks and accept the Stripe Connected Account Agreement. If a refund is due after an owner has been paid, we may take it back from their payouts.
9. Messages and reviews
Keep messages respectful and about your booking, and keep payments on Advertoo. Reviews must be honest and based on a real booking. We may remove content that breaks these terms.
10. Our liability
We work hard to keep Advertoo running smoothly, but we can't guarantee it will always be available or error-free, and we aren't responsible for what advertisers or space owners do outside our platform.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or anything else that can't be limited by law, and nothing affects your statutory rights as a consumer. [Liability cap and further terms to be added on legal review.]
